These Terms of Service ("Terms") govern the use of the NEXO IP platform ("Service") provided by [NEXO IP — LEGAL ENTITY PLACEHOLDER] ("Provider"). By registering or using the Service, the Customer fully accepts these Terms and the Privacy Policy.
NEXO IP is a cloud service for receiving alarm events via the SIA-IP protocol and dispatching multi-channel notifications (SMS, WhatsApp, voice call, email, web push). It does NOT constitute an intrusion alarm system, a private security service, or an emergency response service under Italian D.M. 269/2010.
The Service is pay-as-you-go via prepaid credit managed by Stripe. Unused credit is non-refundable except where mandatory consumer protection rules apply. Per-channel rates are published in the user area and may be updated with 30 days' notice.
The Service, software, infrastructure, documentation and all NEXO IP content are the exclusive property of the Provider and protected by copyright, trademark and intellectual property laws.

NEXO IP does not guarantee that all notifications will always be sent or received in a timely manner, as the Service depends on external factors beyond our control (panel internet connection, carrier networks, recipient settings, third-party provider availability).
To the extent permitted by law, NEXO IP shall not be liable for direct, indirect, consequential, or any other damages arising from missing, delayed, or erroneous notification delivery, including but not limited to theft, property damage, economic loss, or moral damages.
Maximum liability of NEXO IP, in any case and on any basis, is limited to the residual credit balance on the account at the time of the event. In case of malfunction attributable to the Provider, the sole remedy will be the refund of unused residual credit.
Liability is not limited in cases of willful misconduct, gross negligence, or where limitation is not permitted by law.
Processing of personal data of the Customer and notification recipients is governed by the Privacy Policy, which forms an integral part of these Terms.
Upon request, NEXO IP makes available to Customers acting as autonomous controllers a Data Processing Agreement (DPA) compliant with Art. 28 GDPR.
The Service is provided "as is", subject to mandatory legal warranties. NEXO IP makes no warranty of uninterrupted continuity, error-free operation, or fitness for a particular purpose, except for the Provider's commitment to apply the required technical and professional diligence.
The contract has an indefinite term. The Customer may withdraw at any time by deleting their account from the Privacy Dashboard. NEXO IP reserves the right to suspend or close the account in case of Terms violation, non-payment, illegal use, or security risk.
The Provider may modify the Terms for regulatory, organizational or technological reasons. Material changes will be notified by email or in the user area with at least 15 days' notice. Continued use after the change constitutes acceptance, without prejudice to the Customer's right to withdraw.
The Customer may not assign this contract to third parties without the Provider's written consent. NEXO IP may assign the contract, in whole or in part, in case of merger, demerger, business contribution, with written notice to the Customer.
These Terms are governed by Italian law. Any dispute will fall under the exclusive jurisdiction of the Court of [REGISTERED OFFICE — PLACEHOLDER], save where the Customer qualifies as a consumer (Italian D.lgs 206/2005 Art. 3), in which case the mandatory consumer forum applies.
By accepting these Terms, the Customer confirms having read, understood, and fully accepted them.
